Substitute Trustees’ Sale Hotel Property with 392+/- Rms, 2 Ballrooms, 14 Events Rms, Restaurant, Bar, etc. & Secured Creditor's Sale of Certain Personal Property Assets in "Hunt Valley" Hotel Property: The property is believed to be improved by a four (4) story hotel located on approximately 17.9 acres +/- that is currently being operated as a Delta Hotel. The hotel is believed to have the following amenities: approximately 392 guest rooms a fitness center a business center an indoor and outdoor pool 16 event rooms including 2 ballrooms of approximately 9,472 sq. feet +/- and 4,320 sq. ft. +/- restaurant known as the “Cinnamon Tree Restaurant” a café known as “Café 245” a sundries shop and vending areas a cocktail clubhouse known as “Polo Lounge & Bar” DESCRIPTION OF PERSONAL PROPERTY. All of the Grantor’s right, title and interest in and to (a) all equipment, furniture, furnishings, objects of art, machinery, tools, appliances, goods, supplies, inventory and chattel paper, together with all attachments, components, parts and accessories thereon or affixed thereto, which are owned by the Grantor and located at or in the Hotel Property or used at or in connection with the Hotel Property, and (b) all of Grantor’s general intangibles, licenses, permits, certificates, instruments, letters of credit, approvals, consents, plans, drawings, specifications, tradenames, trademarks, service marks, logos, copyrights, goodwill, books, records, documents and contract rights under any contract or agreement entered into by the Grantor (but not including any of Grantor’s debts, obligations or liabilities under any such contracts or agreements) relating or pertaining to the use, occupation, construction, management or operation of the Hotel Property or any business or activity conducted on the Hotel Property (collectively, the “Personal Property”). The Personal Property shall not include (i) any of the obligations, debts or liabilities of the Grantor under any contract, agreement or otherwise, (ii) the Franchise Agreement entered into by the Grantor, as franchisee, with MIF, L.L.C., as franchisor, with respect to the Hotel Property or the operation of the Hotel Property as a Delta Hotel, (iii) any of the Grantor’s cash or other funds, (iv) any of the Hotel Rents (as defined below), or (iv) any of the Bank Accounts (as defined below). MANNER OF SALE. Alex Cooper Auctioneers, Inc. (“Auctioneer”) and the Trustees will conduct the auction sale. The Hotel Property will be offered for sale first with the highest bid price for the same being placed in reserve. The Personal Property will then be offered for sale as an entirety with the highest bid price for the Personal Property being placed in reserve. The Hotel Property and the Personal Property will then be offered for sale as an entirety and the highest bid placed in reserve. Bidders will be required to allocate the amount of their bid for the Hotel Property and the Personal Property as part of the bidder’s entirety bid at the time of making such bid. The manner of sale which generates the highest return to the Secured Creditor will be selected. The Secured Creditor and the Trustees reserve the right, in their sole discretion, to offer the Hotel Property and the Personal Property (collectively, the “Property”) in any combination, to reject any and all bids for any of Property and to withdraw any of the Property from the auction sale.
