This business has been reviewed and prequalified by an SBA Lender. The valuation methodology is driven by the Lender prequalification and industry standard multiple of SDE for businesses under $5mm. The Owner will not consider M&A valuation methodologies for this business and will not participate in a QofE (Quality of Earnings). Traditional, small business financial due diligence is expected. Earn Outs and roll over equity are not applicable with SBA solutions. SBA will require a business valuation (appraisal) of the business to be completed by a licensed Appraiser. The SBA Lender will not finance more than the appraised value. If desired, we can refer you to a Preferred SBA Lender who can promptly answer your financing questions.
The premise is that the Buyer will use an SBA solution to purchase this business. Per SBA loan guidelines, The Owner expects to keep all cash and AR. Working capital can be included in the Buyer’s SBA loan package and will not be provided by Owner. The Owner is negotiable with the asking price. Cash Buyers are welcomed as long as your offer is not using the components of an M&A sale. The Owner will expect a reasonable escrow down payment for all offers.
